3. Purchaser Qualifications, Representations & Warranties

By submitting an order, the Purchaser represents, certifies, and legally warrants that:

1. Legal Age of Majority: You are at least twenty-one (21) years of age (or the minimum legal age of majority in your jurisdiction, whichever is greater) and possess full legal capacity to enter into binding contractual commitments.
2. Professional Competence: You are an institutional researcher, biochemist, university personnel, corporate R&D specialist, or accredited laboratory technician possessing the formal training, credentials, and safety expertise required to handle biochemical agents, lyophilized proteins, and research chemicals safely.
3. Appropriate Laboratory Facilities: You have immediate access to certified laboratory facilities equipped with necessary Personal Protective Equipment (PPE), including but not limited to chemical fume hoods, HEPA biosafety cabinets, Class II protective gloves, splash goggles, and institutional biohazard/chemical waste disposal infrastructure.
4. Risk Assessment & SDS Familiarity: You have conducted an independent risk evaluation and have acquired or reviewed all relevant Safety Data Sheets (SDS), technical bulletins, and toxicological literature prior to unboxing or handling any product.
5. Compliance with Jurisdictional Statutes: You have independently verified that the importation, possession, storage, and laboratory handling of the ordered compounds comply fully with all federal, state, municipal, provincial, and national statutory frameworks governing research reagents in your territorial jurisdiction.

4. Ordering, Pricing, Billing & Anti-Fraud Verification

All orders placed through the Platform are subject to formal verification and acceptance by Apex Pure Pep. We reserve the absolute right to refuse, restrict, or cancel any transaction at our sole discretion without prior notice.

• Pricing & Currency: All prices are displayed in United States Dollars (USD) unless otherwise specified. We reserve the right to correct typographical errors, pricing discrepancies, or inventory fluctuations prior to dispatch.
• Authorized Payment Methods: Payment must be tendered via authorized checkout gateways (including credit cards, bank wire transfers, and verified cryptocurrency networks). The billing name and billing address must pass automated address verification (AVS) and fraud screening filters.
• Suspicious Activity Holds: Any order triggering high-risk fraud indicators, mismatched IP geolocations, or proxy/VPN spoofing will be placed on administrative security hold until manual identity and corporate/institutional laboratory credentials are authenticated.
• Order Modifications: Once an order is transferred to fulfillment or packaged by our logistics staff, no address revisions, item swaps, or cancellations are permissible.

• ANY GUARANTEE REGARDING SPECIFIC EXPERIMENTAL OUTCOMES, RESEARCH YIELDS, RECEPTOR AFFINITY RESULTS, OR REPRODUCIBILITY IN UNCONTROLLED ENVIRONMENTS.
• ANY GUARANTEE THAT THE WEBSITE, SECURE PORTAL, OR SERVER INFRASTRUCTURE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR FREE FROM TRANSMISSION ERRORS OR VIRUSES.

7. Limitation of Liability

IN NO EVENT SHALL APEX PURE PEP, ITS DIRECTORS, OFFICERS, SCIENTIFIC ADVISORS, EMPLOYEES, AFFILIATES, CONTRACTORS, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS, REVENUE, DATA, OR RESEARCH OPPORTUNITIES;
• COST OF PROCUREMENT OF SUBSTITUTE SUBSTANCES OR EQUIPMENT;
• EQUIPMENT CONTAMINATION, CELL LINE LOSS, OR LABORATORY DOWNTIME;
• PERSONAL INJURY, BODILY HARM, ILLNESS, OR DEATH RESULTING FROM UNLAWFUL, NEGLIGENT, OR UNAUTHORIZED HANDLING, RECONSTITUTION, INGESTION, OR INJECTION OF PRODUCTS;
• CUSTOMS SEIZURES, IMPORT DUTIES, GOVERNMENT FORFEITURES, OR FINES ARISING IN IMPORTING JURISDICTIONS.

UNDER ALL CIRCUMSTANCES, THE MAXIMUM AGGREGATE LIABILITY OF APEX PURE PEP ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, OR ANY PURCHASE ORDER SHALL BE STRICTLY CAPPED AT THE EXACT TOTAL PURCHASE AMOUNT (IN USD) PAID BY THE BUYER FOR THE SPECIFIC ORDER IN DISPUTE.

8. Full Indemnification & Hold Harmless

You agree to defend, indemnify, and hold harmless Apex Pure Pep, its parent entities, subsidiaries, affiliates, officers, directors, shareholders, employees, chemical suppliers, logistical contractors, and legal representatives from and against any and all claims, demands, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees and expert witness costs) arising out of or resulting from:

1. Your breach or alleged breach of any representation, warranty, or obligation set forth in these Terms;
2. Your unauthorized use, improper storage, unlawful handling, transfer, resale, or human administration of any product purchased from Apex Pure Pep;
3. Any violation of local, state, federal, or international statutes, customs regulations, biological material handling controls, or environmental rules;
4. Any third-party claim alleging bodily injury, property damage, patent infringement, or regulatory non-compliance linked to your possession or research use of the compounds.

9. Governing Law, Mandatory Arbitration & Class Action Waiver

Governing Law: These Terms and any dispute or controversy arising out of or related to your transactions with Apex Pure Pep shall be governed by and construed in accordance with the laws of the State of Delaware (or designated operational corporate domicile), without regard to conflict of law principles or the United Nations Convention on Contracts for the International Sale of Goods (CISG).

Binding Individual Arbitration: Any dispute, controversy, or claim arising out of or relating to this contract, including its formation, breach, termination, or invalidity, shall be settled exclusively by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration proceedings shall be conducted in English by a single neutral arbitrator.

Class Action Waiver: YOU AND APEX PURE PEP MUTUALLY AGREE THAT ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

10. Severability & Entire Agreement

If any clause, sentence, or provision of these Terms is deemed invalid, unlawful, or unenforceable by an arbitrator or court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

These Terms, together with our Privacy Policy, Research Use Only Disclaimer, Shipping Policy, and Return/Refund Policy, constitute the complete, exclusive, and integrated agreement between you and Apex Pure Pep regarding the subject matter hereof, superseding all prior oral or written discussions, representations, or marketing materials.
